FMCG major ITC has completed the acquisition of Sproutlife Foods, the parent company of nutrition and healthy foods brand Yoga Bar, after acquiring the remaining stake in the Bengaluru based company.
According to its exchange filing, ITC acquired 13,445 equity shares of Sproutlife through a secondary purchase for around Rs 645 crore, increasing its shareholding from approximately 47.5% to 100%. Following the transaction, Sproutlife has become a wholly owned subsidiary of ITC effective September 28.
The acquisition was completed entirely through cash consideration. ITC said the acquisition is in line with its strategy to strengthen its future ready portfolio in the foods segment.
Sproutlife manufactures and sells food products under the Yoga Bar brand. Positioned as a digital first brand, Yoga Bar has a significant presence across D2C and e-commerce channels, along with a growing footprint in offline retail stores.
The company has recorded strong growth in recent years, with its turnover more than doubling to Rs 452 crore in FY26 from Rs 200 crore in FY25. Its turnover stood at Rs 108 crore in FY24.
ITC first invested in Yoga Bar parent Sproutlife Foods in May 2023, acquiring a 39.42% stake for Rs 175 crore, after announcing plans to acquire the company in phases in January that year. Since then, ITC gradually increased its holding to around 47.5%, before acquiring the remaining 52.5% stake in the latest transaction to complete the acquisition.
The deal comes amid a broader acquisition push by legacy FMCG companies to expand their presence in new age and digital first consumer brands. Besides Yoga Bar, ITC signed a deal in February 2025 to acquire Prasuma, which operates frozen and ready to cook food brands Prasuma and Meatigo, with plans to acquire 100% over three years. Similarly, . HUL has similarly expanded its new age portfolio through acquisitions of Minimalist and health and wellness brand OZiva, while Marico has added brands such as Cosmix to its D2C portfolio. Emami and VLCC have also made acquisitions in the digital first consumer space.
